CONSTITUTION

 

IOWA COUNCIL OF TEACHERS

OF MATHEMATICS

 

Article I.         NAME

The name of this organization shall be the Iowa Council of Teachers of Mathematics, hereafter referred to as the Council.

 

Article II.       PURPOSES

The purposes of the Council are:

1.       To encourage an active interest in mathematics and its teaching, and work toward the improvement of mathematics education programs in Iowa.

2.       To provide a medium for exchange of views and facts about current problems, techniques, and experimental programs in the teaching of mathematics.

3.       To further cooperative experimentation and study of problems relating to the teaching of mathematics at all levels, and to assist in the development, coordination, and carrying out of a sustained program for improving instruction in mathematics through the provision of such aids as meetings, bulletins, research studies, and informative services.

4.       To encourage and assist other state and national organizations concerned with mathematics education at all levels.

 

Article III.      AFFILIATION

The Council shall annually renew affiliation with the National Council of Teachers of Mathematics, hereafter referred to as NCTM and may affiliate with other professional organizations as long as there is no conflict of interest with the Council.

 

Article IV.      MEMBERSHIP

Membership is available and encouraged for any person interested in the purposes of the Council.

 

Article V.       OFFICERS

The officers of the Council shall consist of a President, Past-President, President-Elect, Vice Presidents, Treasurer, Regional Directors.

 

Article VI.      EXECUTIVE COMMITTEE

The voting members of the Executive Committee shall consist of the officers of the Council.  Ex-officio names of the Executive Committee shall be the NCTM representative, the journal editor(s), the newsletter editor(s), the Department of Education representative, the Student Director, and the Government Relations Director.  The ex-officio members and all appointed members shall be voting members.  The Executive Committee shall act as the governing board of the Council.

 

Article VII.    NOMINATIONS AND ELECTIONS

The Nomination and Election Committee shall present nominations for all offices to be elected by ballot to the entire membership.  The results of the election shall be published.

 

Article VIII.   MEETINGS

Section 1.      General Business Meetings

A.      There shall be at least one annual Business Meeting of the Council.

B.       Business meetings of the Council may be called by the Executive Committee or by a petition to the President of 25 or more members.

C.      Business of the Council may be transacted at the annual Business Meeting or at any meeting of the Council called and announced at least 30 days prior to said meeting.

D.      A quorum for the annual Business Meeting of the Council shall be those members present.

 

Article IX.      AMENDMENTS

Section 1.      A resolution for an amendment to this constitution may be introduced by petition of 25 members of the Council or by a majority vote of the Executive Committee.  The resolution shall be publicized and distributed to the membership at least 15 calendar days prior to the voting date.  An affirmative vote by two-thirds of the members of the Council voting is required to adopt the resolution as an amendment.

Section 2.      By-laws, consistent with the constitution, will be maintained by the Executive Committee.  A resolution to establish or abolish parts of the By-laws may be introduced by petition of 25 members of the Council or by a majority vote of the Executive Committee. Establishment and abolition of By-laws requires a two-thirds vote of the total membership of the Executive Committee.

Section 3.      Unless otherwise stated in the resolution, all amendments shall take effect the day after the adoption.

 

Article X.       DISSOLUTION CLAUSE

If at any time the Council shall cease to carry out the purposes herein stated, all assets and property held by it, whether in trust or otherwise, shall, after the payment of its liabilities, be paid over to an organization, selected by the final Executive Committee of the Council, which has similar purposes and has established its tax-exempt status under section 502(e) (3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter exclusively for such charitable, scientific, and educational programs.

 

BY-LAWS

 

As Revised Prior to 18 November 1994

 

Article I.         RULES OF ORDER

The authority for all questions of procedures shall be Roberts' Rules of Order.

 

Article II.       MEMBERSHIP

Section 1.      The members of the Council shall consist of all persons who have paid the appropriate membership dues.

Section 2.      A membership shall be in effect from the date of membership for one calendar year.

Section 3.      Retired members, who have been a member of the Council for the last five years immediately prior to retirement, upon application, shall be placed on continuing membership.

Section 4.      Elementary school buildings may be institutional members   and, as such, be non-voting members but have all the other rights of membership.

 

Article III.      DUES

Section 1.      Payment of dues entitles the member to a membership card, a reduced ICTM conference registration fee, receipt of Council publications, and all other benefits of the Council.

Section 2.      Regular membership dues, except as otherwise specified in the By-laws shall be  $20.00 per year.

Section 3.      The membership rate for full-time college undergraduate or graduate student shall be  $5.00.

Section 4.      The membership rate for retired members shall be $5.00.

Section 5.      The membership rate for institutional members shall be $35.00.

 

Article IV.      REGIONS

Section 1.      The state shall be divided into regions reflecting the distribution of AEAs plus the student director.

 

Article V.       OFFICERS

Section 1.      Vice-Presidents and Regional Directors

A.      The Council shall have one Vice-President for each of the following levels:  Elementary, Middle Level, Senior High and Post-secondary.

B.       The Council shall have one Regional Director for each of its regions of the state.

 

 

Section 2.      Qualifications

A.      An officer shall have been a member of the Council for at least one year.

B.       A member to be eligible for the office of President-Elect shall have been active in Council affairs.

C.      A member to be eligible for the office of Regional Director shall live or work within the region represented.

D.      A member shall not, simultaneously, hold more than one office in the Council.

Section 3.      Term of Office

A.    The term of the President shall be two years.

B.    The President-Elect shall be elected by the membership and take office in an odd-numbered year.  One year hence, the President becomes Past-President and the President-Elect becomes President.

C.    The term of a Vice-President shall be two years.  The Vice-Presidents for Elementary and Secondary shall be elected by the membership and take office in an odd-numbered year.  The Vice-Presidents for Middle Level and Post-Secondary shall be elected by the membership and take office in an even-numbered year.

D.    The term of Treasurer shall be appointed by the President, subject to the approval of the Executive Committee.

E.    The term of Regional Directors shall be two years; Student Regional Director shall be one year.  The following Regional Directors shall be elected by the membership of their region and take office in an odd-numbered year:  AEA 1, Northwest AEA, AEA 9, AEA 13, and AEA 14. The following Regional Directors shall be elected by the membership of their region and take office in an even-numbered year:  AEA 267, AEA 8, AEA 10, AEA 11, Great Prairie AEA.  The Student Regional Director shall be appointed by the President each year.  Regional Director’s terms will expire when current terms expire. 

F.     An officer may be elected for not more than two consecutive terms in one office. 

G.    Elected persons shall assume their offices on March 30.

Section 4.      Removal from Office

Any officer may be removed from office by unanimous vote of the remaining Executive Committee members.

Section 5.      Filling Vacancies

A.    If the office of President becomes vacant, the powers and duties of the office shall be assumed by the President-Elect, who shall retain the office through their elected term of President-Elect.  If the office of President becomes vacant on an even-numbered year then the Secondary Vice-President becomes President.

B.    If the office of President-Elect becomes vacant, the President may authorize the Nomination and Election Committee to hold a Special Election.

C.    If any other office becomes vacant, the President shall make an appointment for the remainder of the unexpired term, subject to the approval of the Executive Committee.

Section 6.      Powers and Duties.

A.    The Past-President shall:

                1.     serve in an advisory capacity to the President.

                2.     have other such duties as the President may determine.

B.    The President shall:

                1.     be the executive officer of the Council.

                2.     preside at all Executive Committee meetings.

                3.     preside at all general business meetings of the membership.

                4.     appoint all committees and chairpersons, except those provided by motion and specified to be

                        appointed in some other manner.

                5.     appoint Ex-officio Members of the Executive Committee as outlined in Article VI and

                        Executive Secretary, subject to the approval of the Executive Committee.

                6.     serve as alternate delegate to the NCTM Delegate Assembly in even-numbered years and in                         the absence of the President-Elect.

                7.     publish an agenda and distribute the minutes, agenda, and reports for each Executive

                        Committee meeting at least 10 calendar days prior to the meeting date.

                8.     perform all duties assigned to him/her by the Executive Committee.

                9.     prepare the annual budget with the Treasurer prior to the first Executive Committee meeting

                        of each school year.

                10.  appoint an auditing committee in time to perform an audit prior to June 1.

 

                11.  appoint a nominating committee before the last official meeting of the Executive Committee

                        for a given year.

      12.  perform all other functions usually attributed to this office.

C.    The President-Elect shall:

      1.     perform the duties of the President in his/her absence or at his/her request.

      2.     attend the NCTM Delegate Assembly.

      3.     have other such duties as the President may determine.

D.    The Vice-President shall:

      1.     represent the specified teaching level on the Executive Committee.

        2.     have other such duties as the President may determine.

E.    The Treasurer shall:

      1.     receive all monies from dues and other manner of income.

      2.     pay all routine bills provided for by the annual budget and such other bills as are approved

                        by the Executive Committee.

      3.     prepare a written report for each Executive Committee meeting in detail showing all income

                        and expenses since the previous report.

      4.     supervise income and payment of all bills for Council-supported activities.

      5.     be responsible for preserving the permanent records.

      6.     at the annual meeting, submit a financial report for the year for the approval of the members.

      7.     with the approval of the Executive Committee shall submit to the membership a proposed

                        budget for the next operating year.

      8.     prior to June 1 have the financial records audited by the Auditing Committee.

      9.     have other such duties as the President may determine.

F.     A Regional Director shall:

      1.     represent his/her region on the Executive Committee.

      2.     promote ICTM membership and involvement in ICTM activities.

      3.     cooperate with the journal editor and newsletter editor in soliciting news items and articles.

      4.     campaign for new Council and NCTM members.

      5.     publicize Council and NCTM activities and publications.

      6.     have other such duties as the President may determine.

 

Article VI.      EXOFFICIO MEMBERS AND EXECUTIVE SECRETARY

Section 1.      Qualifications

A.    A member to be eligible for appointment as Government Relations Director shall have been a Council member for at least one year.

B.    A member to be eligible for appointment as NCTM Representative shall have been a member of the Council and NCTM for more than one year.

C.    A person to be eligible for appointment as Executive Secretary shall have knowledge of ICTM procedures, good communication skills, and have access to and knowledge of a computer, word processing, data bases, spreadsheets, and e-mail.

D.    A person to be eligible for appointment as Student Director should be an undergraduate student at an Iowa college or university and have an interest in mathematics education.

E.    A person to be eligible for appointment as Department of Education Representative shall have an interest in mathematics education and be willing to serve as a liaison between ICTM and the Department of Education.

Section 2.      Term of Appointment

The terms of the ex-officio members and Executive Secretary shall be one year.  The appointment shall be recurring and reviewed each year by the Executive Committee.  The NCTM Representative will be appointed for a three year term from July – July. 

Section 3.      Removal from Appointed Positions

A presidential appointee may be removed only by a 2/3 vote of the total membership of the Executive Committee.

 

 

Section 4.      Filling Vacancies

If the position of any ex-officio members or Executive Secretary becomes vacant, the President shall make an appointment, subject to the approval of the Executive Committee.

Section 5.      Powers and Duties.

A.    The NCTM Representative shall:

                1.     serve as the official delegate to the delegate assembly Annual NCTM meeting.

                2.     encourage Council members to join the NCTM.

                3.     provide for the sale of NCTM materials at the regional and state conferences, and other

                        related functions.

                4.     have other such duties as the President may determine.

B.    The Executive Secretary shall:

                1.     assist the President with organizational duties and communication with members of the

                        Executive Board and ICTM membership.

                2.     be responsible for mailings to the Executive Board and to the ICTM membership.

                3.  maintain a clearinghouse for the Council regarding general information for conference dates,

                        special programs, and general information requests and refer requests to appropriate person(s).

                4.     accept general mailings, telephone calls, e-mail, and faxes for the Council.

                5.     maintain accurate records of incurred expenses for the operation of the position and submit

                        bills to the Treasurer.

                6.     attend the Executive Board meetings as deemed necessary by the President.

                7.     arrange facilities for Executive Board meetings and for ICN meetings of the ICTM

                        membership when requested.

                8.     accept registrations, collect all monies, and maintain a current list of attendees for conferences.

                9.     accept membership, collect dues, maintain a current list of member  data and keep

                        track of current trends in membership.

                10.  assist in facilitating the efforts to expand the active membership of the Council.

                11.  assist in the planning and the arranging of the annual state conference as requested.

                12.  publish and mail the yearly math journal; e-mail three yearly newsletters.

                13.  supply all equipment necessary to perform the job.

                14.  keep the minutes of all Executive Committee Meetings and General Business Meetings.

      15.  prepare the minutes of the last meeting for distribution to each member of the Executive

                        Committee.

      16. be responsible for preserving the permanent records.

                17.  perform any other assigned duties related to the council deemed appropriate by the ICTM

                        Executive Committee.

C.    The Student Director shall:

                1.     represent college and university students  that have an interest in mathematics education.

                2.     promote ICTM membership and involvement in ICTM activities.

                3.     publicize Council and NCTM activities and publications.

                4.     cooperate with the journal editor and newsletter editor in soliciting news and articles.

                5.     serve on the Annual Conference Committee and assist in organizing the student conference-

                        within-a-conference.

                6.     have other such duties as the President may determine. 

D.    The Department of Education Representative shall:

                1.     maintain communication between Iowa Department of Education and ICTM.

                2.     serve as a resource for ICTM regarding mathematics education in Iowa.

                3.     have other duties as the President may determine.

E.    The Government Relations Director shall:

                1.     maintain communication between the state branches of Iowa government and ICTM.

                2.     carry our concerns to state branches of Iowa government regarding mathematics education in

                         Iowa.

        3.     have other duties as the President  may determine.

Section 6.      Compensation of the Executive Secretary.

The executive secretary shall be paid a yearly salary and equipment maintenance allowance and will be entitled to all compensations and rights as determined by both federal and state law.  The yearly salary and equipment maintenance allowance shall be determined by the Executive Board.  The Executive Secretary shall be paid for all expenses as determined by the duties assigned to the position.

 

Article VII.    THE EXECUTIVE COMMITTEE

Section 1.      The Executive Committee shall:

A.    make an annual review of the policies and goals of the Council and the needs of its regions.

B.    take appropriate action on all committee reports and membership petitions.

C.    determine the disposition and depository of permanent records.

D.    act in accordance with the Constitution and By-laws of the Council.

Section 2.      Travel expenses of Executive Committee members and presidential appointees to Executive Committee meetings shall be paid by the Council at a rate set by the Executive committee.  The rate will be determined at the ICTM June Retreat.

Section 3.      Payment for the above mentioned travel expenses shall be made only to those who make written request to the Treasurer of the Council and who do not receive any other reimbursement for said travel expenses.

Section 4.      Each Executive Committee member is expected to attend the Executive Committee meetings.

 

Article VIII.   NOMINATIONS AND ELECTIONS

Section 1.      At least two persons shall be nominated for each office.

Section 2.      The Nomination and Election Committee must receive consent from each nominee prior to placement of his/her name on the ballot.

Section 3.      A member may submit a petition to the Nomination and Election Committee to place his/her name in nomination.  The member must meet the qualifications for the office and the petition must be signed by 15 other members of the Council.  Upon receipt of the petition, the Nomination and Election Committee shall place the name on the ballot.

Section 4.      All officers with the exception of Regional Directors and the Student Regional Director shall be voted upon by the membership-at-large.  Regional Directors shall be voted upon by members within the region represented.

Section 5.      The election ballot shall contain provision for a write-in vote.

Section 6.      The Annual Election of offices shall be held by mail ballot.  Ballots shall be mailed to all members prior to November 1.  To be valid, ballots must be received by the Nomination and Election Committee with a postmark no later than December 1.

Section 7.      Upon receipt of marked ballots, at least three members of the Nomination and Election Committee shall verify the vote count.

Section 8.      The nominee receiving a plurality of the votes cast for an office shall be declared elected to that office. In case there is a tie, a coin toss will determine the winner. 

Section 9.      In the event of a Special Election, the Nomination and Election Committee shall determine a timetable, subject to approval of the Executive Committee.

 

Article IX.      STANDING COMMITTEES

Section 1.      The President with the approval of the Executive Committee shall appoint a:

A.    Membership Committee: This Committee shall be responsible for all activities of the Council regarding internal organization.

B.    Outreach Committee:  This Committee shall be responsible for carrying out the projects and programs of the Council as determined by the Executive Board.  Members of this Committee will be responsible for projects and programs for which they will appoint and supervise members of ICTM to carry out the mission of the Council through those projects and programs.

C.    Annual Conference Committee:  This Committee shall be responsible for all activities of the Council related to the Annual Conference.

D.    Publications Committee:  This Committee shall be responsible for the publications and mailings of the Council.  The journal editor and the newsletter editor should serve on this committee.

 

Article X.       AFFILIATE GROUPS

A group may affiliate with ICTM so long as its purpose is compatible with that of the Council and it abides by the guidelines of the Council relative to membership. Such a group must have a dissolution clause in its constitution. Any affiliate group shall have a non-voting representative on the executive board.  The executive board shall, by majority vote, grant affiliation.
